Fulcrum Therapeutics and Slate Medicines plan a merger backed by $245 million to advance SLTE-1009, an investigational anti-PACAP/VIP therapy for migraine.

Slate Medicines and Fulcrum Therapeutics have entered into a definitive all-stock merger agreement to create a combined biopharmaceutical company focused on developing next-generation therapies for migraine and other headache disorders. Operating under the Slate Medicines name and proposed Nasdaq ticker symbol SLTE, the company will leverage an expanded pipeline led by novel multi-pathway monoclonal antibodies.
Lead Clinical Candidate: SLTE-1009
Slate’s lead program, SLTE-1009, is a potentially best-in-class, clinical-stage subcutaneous monoclonal antibody designed to simultaneously neutralize pituitary adenylate cyclase-activating peptide (PACAP) and vasoactive intestinal peptide (VIP). These two neuropeptides play central, complementary roles in migraine pathophysiology. By dual-targeting the PACAP/VIP pathways, SLTE-1009 aims to deliver more complete pathway inhibition and potentially superior clinical efficacy compared to PACAP-only targeting strategies.
Engineered with an extended half-life to enable quarterly subcutaneous dosing, SLTE-1009 has received clearance to initiate Phase 1 clinical trials in Australia. Initial pharmacokinetic and safety data from healthy volunteers are anticipated in mid-2027, with subsequent plans to advance into a Phase 2 dose-range-finding study in migraine patients.
Broader Pipeline Expansion
Beyond SLTE-1009, Slate is advancing SLTE-2100, a bispecific antibody targeting PACAP/VIP alongside calcitonin gene-related peptide (CGRP). Currently in lead optimization, SLTE-2100 is projected to enter clinical trials in the second half of 2027, with development planned through a Phase 2a patient study. Slate is also developing an additional undisclosed program in the headache space to further broaden its therapeutic reach.
Financial Structure and $245 Million Private Placement
To support these clinical milestones into 2029, the transaction will be accompanied by an oversubscribed $245 million private placement led by Frazier Life Sciences, with participation from Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments, and Mingxin Capital.
Under the merger agreement, pre-merger Slate stockholders (including private placement investors) will own approximately 95% of the combined entity, while pre-merger Fulcrum stockholders will hold approximately 5%, subject to adjustment based on Fulcrum’s net cash at closing. Immediately prior to closing, Fulcrum plans to contribute approximately $20.3 million in net cash to the combined company and distribute an estimated $270 million cash dividend to its pre-merger stockholders.
Executive Perspective
Following completion of the transaction, Slate CEO Gregory Oakes will lead the combined company, supported by Slate’s existing board of directors including Peter Kolchinsky (RA Capital Management), Tim Lohoff (Forbion), Michael Rome (Foresite Capital), and Mark Hahn (former CFO of Verona Pharma).

Transaction Timeline and Closing Conditions
Unanimously approved by the boards of both companies, the merger is targeted to close in the fourth quarter of 2026. Closing remains subject to customary conditions, including stockholder approvals, the effectiveness of an SEC registration statement, and the expiration or termination of the applicable Hart-Scott-Rodino antitrust waiting period.
