Vertex to Acquire Crinetics for $10 Billion, Adding PALSONIFY and Phase 3 Atumelnant to Rare Endocrine Portfolio

Vertex will acquire Crinetics Pharmaceuticals for $10B, adding PALSONIFY the first approved oral therapy for acromegaly and Phase 3 ACTH receptor antagonist atumelnant for congenital adrenal hyperplasia to its rare disease portfolio.

Vertex Pharmaceuticals has entered into a definitive agreement to acquire Crinetics Pharmaceuticals for $85 per share in cash, representing a total equity value of approximately $10.0 billion, or $8.8 billion net of estimated cash acquired. The transaction has been unanimously approved by both companies’ boards and is expected to close in the third quarter of 2026, subject to Crinetics shareholder approval and customary regulatory clearances.

The acquisition broadens Vertex’s rare disease portfolio beyond cystic fibrosis by adding a commercial endocrinology franchise and a late-stage pipeline targeting rare hormonal disorders.

PALSONIFY adds first approved oral therapy for acromegaly

The transaction brings PALSONIFY (paltusotine), the first and only once-daily oral selective somatostatin receptor type 2 (SST2) agonist approved for adults with acromegaly, into Vertex’s commercial portfolio. The therapy received U.S. FDA approval in September 2025 and has also been authorized in Europe, with additional regulatory reviews underway globally.

Acromegaly is a rare disorder caused by growth hormone-secreting pituitary tumors and affects an estimated 20,000 diagnosed patients in the United States. Clinical studies showed that PALSONIFY rapidly controlled disease activity and normalized key biochemical markers in both treatment-naïve and previously treated patients. The therapy has also demonstrated encouraging early commercial uptake following its launch.

Phase 3 atumelnant targets unmet need in congenital adrenal hyperplasia

Vertex will also acquire atumelnant, an investigational once-daily oral adrenocorticotropic hormone (ACTH) receptor (MC2R) antagonist currently in Phase 3 development for classic congenital adrenal hyperplasia (CAH).

CAH is a rare inherited disorder characterized by impaired cortisol production and excess adrenal androgen secretion. Current treatment often relies on supraphysiologic glucocorticoid doses, exposing patients to significant long-term complications.

In Phase 2 studies, atumelnant enabled patients to achieve near-normal androgen levels while maintaining physiologic glucocorticoid replacement doses. The investigational therapy was generally well tolerated, with no treatment-related severe or serious adverse events reported to date. The program is also being evaluated for its potential in Cushing’s syndrome.

Strategic fit supports long-term growth

Vertex President and Chief Executive Officer Reshma Kewalramani, MD, said Crinetics’ portfolio complements Vertex’s strategy of developing medicines for serious diseases supported by well-understood human biology. She said Vertex’s expertise in commercializing therapies for rare diseases could accelerate the global adoption of PALSONIFY while advancing atumelnant as a potential new treatment option for patients with CAH.

Crinetics Founder and Chief Executive Officer Scott Struthers, PhD, said the combination will expand the global reach of the company’s endocrine portfolio through Vertex’s commercial infrastructure while advancing therapies for patients with underserved endocrine disorders.

Regulatory Path Forward

Vertex expects PALSONIFY to contribute immediately to revenue growth, while atumelnant represents a significant late-stage pipeline opportunity. Together, the two assets are projected by the company to generate more than $5 billion in peak annual revenue.

The acquisition will be financed through a combination of existing cash and debt, including $4.5 billion in fully committed bridge financing, and is expected to become accretive to Vertex’s non-GAAP operating income by 2029, further supporting the company’s long-term growth strategy in rare diseases.
