Lilly Acquires Curevo, LimmaTech, and Vaccine Company to Expand Vaccine Portfolio

Eli Lilly is acquiring Curevo, LimmaTech Biologics, and Vaccine Company in deals worth over $3.8B, expanding into shingles, antimicrobial resistance, and EBV vaccines to strengthen its infectious disease prevention strategy.

Eli Lilly and Company has agreed to acquire three biotechnology firms focused on vaccine innovation Curevo Inc., LimmaTech Biologics AG, and Vaccine Company, Inc. in transactions collectively valued at more than $3.8 billion. The deals mark a significant expansion of Lilly’s infectious disease prevention strategy, adding programs across viral and bacterial pathogens.

Shingles Candidate with Improved Tolerability

Curevo’s lead asset, amezosvatein, is an adjuvanted subunit vaccine in development for shingles prevention in adults. In a Phase 2 head-to-head study (NCT05304351) against the current standard of care, the candidate achieved comparable immune responses across primary endpoints while reducing activity-limiting fatigue, chills, and injection-site pain by more than 50%.

Lilly said improved tolerability could increase completion rates for the two-dose regimen, where second-dose hesitancy remains a persistent barrier. Emerging evidence has linked shingles infection to increased stroke risk, while shingles vaccination has been associated with reduced dementia risk.

Curevo shareholders could receive up to $1.5 billion, including milestone payments.

Addressing Antimicrobial Resistance

LimmaTech Biologics contributes a bacterial vaccine platform targeting pathogens associated with rising antimicrobial resistance. Its lead program, LTB-SA7, is in Phase 1 development for prevention of Staphylococcus aureus infections, a leading cause of surgical-site infections.

Lilly noted that LTB-SA7 complements broader industry efforts in an area where previous vaccine candidates have struggled to demonstrate efficacy. LimmaTech’s pipeline also includes vaccine candidates against Neisseria gonorrhoeae and Chlamydia trachomatis, pathogens linked to infertility and long-term complications that disproportionately affect women.

The transaction carries a potential value of up to $780 million.

Lilly Adds EBV Vaccine Platform

Vaccine Company adds proprietary In Vivo Nanoparticle (IVN) technology designed to mimic antigen presentation seen in virus-like particle vaccines while reducing manufacturing complexity. Its lead Epstein-Barr virus (EBV) vaccine candidate is Phase 1-ready and incorporates five antigens intended to generate durable immune responses.

Interest in EBV prevention has increased following studies linking the virus to multiple sclerosis and several malignancies. Lilly said a prophylactic vaccine could help prevent infectious mononucleosis as well as downstream neurological and oncological complications.

While EBV vaccine development remains scientifically challenging, Lilly noted that IVN technology may simplify production compared with traditional approaches. Vaccine Company shareholders could receive up to $1.55 billion in upfront and milestone-based payments.

Strategic Outlook

Daniel Skovronsky, chief scientific and product officer at Lilly Research Laboratories, said the acquisitions reflect a broader strategy focused on preventing disease earlier rather than treating downstream complications after infection occurs.

The transactions also mark a notable expansion into vaccines for Lilly, which has historically focused more heavily on therapeutics than prophylactic prevention.

All three deals remain subject to customary closing conditions, including antitrust review under the Hart-Scott-Rodino Act, and will be incorporated into Lilly’s financial guidance following completion.
